WHO WE ARE

Clear Capital, LLC (d/b/a “Clear Capital Partners”) is a merger & acquisition firm with offices in Orange Beach, Alabama and Chattanooga, Tennessee. Clear Capital, with its ambitious and aggressive leadership, is rapidly growing in the childcare service industry under the auspices of its subsidiary entity, Clear Capital, LLC, Series One – Childcare. Clear Capital currently holds a portfolio of eight childcare centers across five states in the southeastern U.S. with over two hundred employees and over seven hundred children in its care.

The WHAT

1) Clear Capital, LLC identifies and targets promising and profit-generating childcare centers that are potentially available for acquisition across the continental United States. Once a qualified center is identified, Clear Capital engages the owner in aggressive and good faith negotiations, performs the necessary due diligence and, if terms are met, purchases the childcare business through its Series – One entity and purchases the childcare real estate through the Clear Capital Real Estate Fund, LLC.

2) While the Clear Capital Series – One entity operates the ongoing, profit-generating business of the childcare center itself, the Real Estate Fund entity owns the real estate upon which the center is situated. The Series-One entity (as the tenant) then pays rent to the Real Estate Fund entity (as the owner) typically pursuant to a fifteen year Triple Net Lease.

The HOW

The Real Estate Fund entity will partner with an investor or group of investors (“Unit Holders”) who will provide upwards of 80% - 90% of the capital required for purchase of the real estate.

(Note) Class A Unit Holders will generally not be required to guarantee any debt obligations.

The WHEN

The capital for each fund will be deployed approximately 2 weeks after a capital call.

FACT – During the Covid-19 Months of March thru June, when most businesses were shut down, Clear Capital, LLC Series One-Childcare remained OPEN and continued to bring in no less than 80% of revenue. These childcare centers remain to be recession resilient.
